Annette Herrera is a partner at Torres Legal, an attorney and notary authorized in the Republic of El Salvador, and an attorney admitted to practice in the State of New York, United States. Her practice focuses on banking, finance, capital markets, corporate law, mergers and acquisitions, corporate restructurings, venture capital, and local and international transactions.
Advises financial institutions, creditors, corporate borrowers, investors, funds, startups, international companies and business groups in operations that require rigorous legal analysis, coordination between parties and efficient execution. Her experience includes local and international financings, syndicated loans, acquisition financing, security trusts, securitizations, debt and equity issuances, investment funds, M&A, corporate reorganizations, corporate governance, private investment, due diligence, joint ventures and commercial agreements.
She has developed her career in law firms, financial institutions and international legal environments, including experience as part of the in-house legal team of the largest commercial bank in El Salvador and as an international associate at Holland & Knight LLP in Miami. - Advised creditors in a syndicated loan for up to USD 57.5 million, including the structuring of related guarantees.
- Advised creditors on the structuring, negotiation, and formalization of a financing for up to USD 80 million aimed at the remodeling and modernization of port infrastructure in El Salvador.
- Advised buyers on the legal due diligence of a company with real estate assets valued at up to USD 80 million.
